PERKS PROGRAMME TERMS AND CONDITIONS

Effective 4th May 2020, the loyalty programme run by Salon Success based on purchases of John Paul Mitchell Systems® products in the UK, is the Perks Programme (hereinafter, “Perks’ or the “Loyalty Programme”). Prior to this, the Loyalty Programme operated under two names: Signature Salon Programme and the Pigment Points Programme. These Loyalty Programmes are operated by Salon Success, a trading division of Sally Salon Services (hereinafter, the “Company”). 1. ELIGIBILITY AND BENEFITS 1.1 Eligibility. Membership in the Loyalty Programme is free and available to any salon who: (a) orders any Paul Mitchell® Professional Hair Color products; (b) orders an average of £600 per month excluding VAT of John Paul Mitchell Systems® retail brands from Salon Success. 1.1.a. Customers with poor debt may be excluded from the Loyalty Programme in accordance with section 4.4b. 1.1.b. Customers with price bands below the salon price or who receive additional discounts may be excluded from the Loyalty Programme. 1.2 Participating Brands 1.2.a. Points are earned based on purchases of products within “Participating Brands”. The participating brands for John Paul Mitchell Systems® include Paul Mitchell®, Tea Tree, Neuro®, Awapuhi Wild Ginger, MarulaOil, MITCH®, MVRCK® and John Paul Pet® unless otherwise stated. The participating brands for Paul Mitchell® Professional Hair Color include the color XG, Crema XG, Color XG Coversmart, POP XG, The Demi, Inkworks, Wipe Out, Dual Purpose Lightener, SynchroLift, SkyLight, Lighten Up and developers for each of these unless otherwise stated. 1.3 Benefits of Membership 1.3.a. Save on Costs. Perks Programme members can use their earned points to purchase participating products and services from Salon Success. 1.3.b. Exclusive Perks Offers. Perks Programme members will from time to time be sent promotions and offers which are exclusive to Perks. 1.3.c. Perks Communications. Perks Programme members will be sent regular member emails to keep them up to date with Perks news, Perks offers and other brand associated content that is deemed beneficial to the member’s business. 1.3.d. Perks Marketing Support. Perks members may use their points to create personalised POP and marketing materials. Members will have access to a member of the Marketing team who will help advise on formats, sizes and costs to design the best bespoke item possible. 1.4 Membership Communications 1.4.a. New Members will receive a Perks Programme welcome email and the latest Perks Programme Menu. 1.4.b. All Perks communications will be sent to the members’ email address as provided by the member and held on the salon’s account records. Members are responsible for being signed up to receive Salon Success emails and for keeping their email address current. Email addresses can be changed and added by calling the Club Services team. The Company shall not have any responsibility for misdirected or lost mail or any consequences thereof. 1.4.c. Members will not be sent Perks Programme communications by postal mail. 1.4.d. The Company may also send members promotions, offers and other communications from time to time. All information will be deemed beneficial to the members’ business. 1.4.e. A member can get their latest Perks Points balance by contacting the Salon Success Club Services team on 0845 6590011. 2. EARN POINTS 2.1 Earning Points 2.1.a. A Member will earn 1 Point for each £1 sterling, net of VAT, that is paid for by the Member on Qualifying Products in accordance with Section 1.2.a Perks Programme Terms and Conditions CONTINUED OVERLEAF. 3. REDEEM POINTS 3.1 Redeeming Points A Member may redeem Points to obtain certain products, including, without limitation, John Paul Mitchell Systems® Wash House size Shampoos and Conditioners, colour accessories, Neuro® electrical tools, personalised marketing materials and education. A full list is available in the Perks Programme Menu which can be found on the Salon Success website. The Points value of an item is based on the price you pay for the goods, i.e. if you usually pay £14.60 for a litre size Paul Mitchell® Shampoo One®, your Points value will be calculated based on this price. 3.1.a. Points may not be exchanged or redeemed by a Member for cash, prizes or credit. 3.1.b. Points that have expired may not be redeemed. 3.1.c. Points cannot be redeemed on purchases that are not yet invoiced. Points balances are updated at the point that an invoice is raised, typically this is 24 hours after an order is placed but may be longer in busier or exceptional circumstances. 3.1.d. Points can be used to pay in part for products (shampoo, conditioner, styling, colour, accessories). If you have insufficient points when purchasing these items, you can use your points towards the total cost of that product. For example a product costing 100 points could be paid for using 80 points and the rest paid in sterling. You cannot use points to pay in part for any other items on the Perks Menu. 4. ADDITIONAL TERMS OF PARTICIPATION IN THE LOYALTY PROGRAMME 4.1 Monitoring Membership Accounts Every 6 months each members’ eligibility will be revisited. This will take place in February and August each year. 4.1a. If a member has spent £3600 on John Paul Mitchell Systems® retail brands over the last six months, they will continue to earn points on their purchases of John Paul Mitchell Systems® retail brands. 4.1.b. If a member has not spent £3600 on John Paul Mitchell Systems® retail brands over the last six months, they will be contacted by a member of the team to notify them and offer the opportunity to increase their purchases and keep earning points. 4.1.c If a member has not spent £3600 on John Paul Mitchell Systems® retail brands over the last six months, and does not increase their purchases to stay eligible, they will stop earning points on purchases of John Paul Mitchell Systems® retail products for six months, after which their eligibility will be reviewed again. Any points earned will remain available for you to spend within two years, after which they will expire. 4.1.d. There is no eligibility clause for earning points on Paul Mitchell® Professional Hair Color products, you will simply earn points on any purchases of this brand. 4.2 Expiration of Points Points which have not been redeemed will expire after two years from the date of the invoice for which they earned the points on. 4.2.a. Points expire after two years when they will be automatically deducted from your points total. 4.2.b. Any points redeemed will automatically use the oldest eligible points available on the account, to minimise the number of points expiring. 4.2.c. The Company may cancel a Member’s accumulated Points and suspend Perks Programme benefits should the member become inactive in their purchases from Salon Success for a period of six months or longer. i.e. if a Member has not purchased any Paul Mitchell® Professional Hair Color or qualifying John Paul Mitchell Systems® products from Salon Success for a continuous period of six months. 4.3 Exclusion of Participating Products If a Participating Product is discontinued or exits the Loyalty Programme for any reason, a Member will not earn Points on this item. 4.4 Other Conditions of Membership 4.4.a. Cancelling or Suspending Points by the Company. The Company may cancel a Member’s accumulated Points and suspend Perks Programme benefits should the member become inactive in their purchases from Salon Success for a period of six months or longer. The Company has the right to cancel a Member’s accumulated Points and suspend Perks Programme benefits should the member owe a debt greater than 90 days without an agreed payment plan in place. 4.4.c. Modification of Programme. The Company has the right to change, limit, modify or cancel the Loyalty Programme Rules and Reward levels at any time, with or without notice, even though such changes may affect the value of Points, or the ability to obtain certain Rewards. 4.4.d. Termination of Programme. The Company may terminate the Perks Programme with three (3) months’ advance notice to all active Perks Members. At the Company’s sole discretion, the Company may choose to substitute a similar loyalty programme for the Loyalty Programme at any time immediately upon notice to active Loyalty Members. If the Loyalty Programme is terminated, all unredeemed Points will be forfeited without any obligation or liability. The Company may terminate any of the Loyalty Programme in whole or in part, in any jurisdiction on less than three months’ notice if required to do so by applicable law. 4.4.e. Benefits Subject to Availability and Modification. All Loyalty Programme benefits, amenities, offers, awards and services are subject to availability and may be changed at any time without notice. 4.4.f. No Sale or Transfer. Points may not be sold, bartered or transferred.
